Kakao announced a demerger plan separating its KakaoTalk-centered AI, advertising, and commerce businesses from investment and affiliate-management operations. Rather than immediately taking a position for or against the plan, minority-shareholder platform ACT asked Kakao to first explain benefits that an internal reorganization could not readily achieve and safeguards for shareholders.
In this type of demerger, existing shareholders receive shares in both companies according to the split ratio. The issues are the concrete benefits for decision-making, the costs of the split, and protection of shareholder value, rather than the act of dividing the company alone.
